1. Agreement to Terms
These Terms and Conditions ("Terms") constitute a legal agreement between you (the "Family Member" or "Representative") and Twilight Nest ("we," "us," or "our") regarding residential care services for elderly individuals (the "Resident") at our facility located at 41/7 Soi Pattaya Klang 8, Nong Prue, Bang Lamung, Chon Buri 20150, Thailand.
By engaging our services, completing intake documentation, or paying fees, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not proceed with service arrangements.
2. Definitions
For purposes of these Terms:
- Services: Residential care, personal assistance, meals, housekeeping, activities, and related offerings as described in your selected Living Option
- Living Options: The three residential arrangements available: Evening Garden Residency, Evening Gathering & Leisure Program, and Lantern Suite with Evening Companion
- Facility: The physical premises of Twilight Nest located in Pattaya, Thailand
- Representative: The family member or legally authorized person acting on behalf of the Resident
- Agreement: The service contract formed when you accept these Terms and our care services begin
3. Service Description
3.1 Scope of Services
Twilight Nest provides non-medical residential care services for elderly individuals. Our services include but are not limited to:
- Private or semi-private accommodations as per chosen Living Option
- Daily meals prepared according to dietary needs
- Personal care assistance with activities of daily living
- Housekeeping and laundry services
- Access to common areas and garden paths
- Activity programming and social opportunities
- 24-hour staff presence for safety and support
3.2 Services Not Included
The following are not included in our standard services:
- Medical care, nursing services, or medical treatments
- Medications and pharmaceutical supplies
- Personal items (toiletries, clothing, etc.)
- External medical appointments and transportation (though we assist with coordination)
- Specialized therapeutic services
- Private telephone or internet services in rooms
3.3 Service Availability
Services are provided subject to availability. We reserve the right to refuse service if we determine our facility cannot appropriately meet a prospective resident's care needs.
4. Admission Requirements
4.1 Eligibility
To be eligible for residency at Twilight Nest:
- Resident must be 60 years of age or older
- Resident must not require continuous skilled nursing care
- Resident must not pose a safety risk to themselves or others
- Representative must provide accurate health and personal information
- Representative must be legally authorized to make care decisions if Resident cannot
4.2 Assessment Process
Prior to admission, we conduct an assessment to determine suitability. This includes review of medical history, current health status, care needs, and behavioral considerations. Admission is at our discretion based on our ability to provide appropriate care.
4.3 Required Documentation
Families must provide:
- Completed intake forms
- Medical history and current physician information
- Identification documents
- Emergency contact information
- Power of attorney or guardianship documents if applicable
5. Fees and Payment
5.1 Monthly Fees
Fees for each Living Option are stated in Thai Baht (฿) and billed monthly:
- Evening Garden Residency: ฿14,800 per month
- Evening Gathering & Leisure Program: ฿13,500 per month
- Lantern Suite with Evening Companion: ฿78,000 per month
Living Options can be combined. For example, Garden Residency plus Activity Program would be ฿28,300 per month.
5.2 Payment Terms
- Fees are due on the first day of each month
- Initial payment includes first month's fee plus a refundable security deposit equal to one month's fee
- Payment methods accepted: bank transfer, check, or cash
- Late payments (after 10th of month) incur a ฿500 late fee
- Continued non-payment may result in termination of services
5.3 Fee Adjustments
We reserve the right to adjust fees annually with 60 days written notice. Fee increases will not exceed 8% per year.
5.4 Refund Policy
If residency ends mid-month, fees are prorated on a daily basis. The security deposit is refunded within 30 days after move-out, less any damages or unpaid fees.
6. Resident and Family Responsibilities
6.1 Accurate Information
Families must provide complete and accurate information about the Resident's health, medications, care needs, and behavioral history. Updates must be communicated promptly when circumstances change.
6.2 Respectful Conduct
Residents and visiting family members must treat staff and other residents with respect. Aggressive, threatening, or abusive behavior toward staff or residents may result in immediate termination of services.
6.3 Personal Property
Residents may bring reasonable personal items. Twilight Nest is not responsible for loss or damage to personal property. We recommend against bringing valuable items.
6.4 Healthcare Coordination
Families are responsible for arranging and paying for external medical care, including physician visits, hospitalizations, medications, and specialized services. We will assist with coordination but do not provide medical services.
6.5 Communication
Families should maintain regular communication with staff regarding the Resident's wellbeing and participate in care plan discussions and monthly family meetings when possible.
7. Our Responsibilities
Twilight Nest commits to:
- Providing services as described in the selected Living Option
- Maintaining a safe, clean, and respectful environment
- Treating residents with dignity and respecting their preferences
- Communicating with families regarding care and any concerns
- Protecting resident privacy in accordance with applicable law
- Employing qualified, trained staff with background checks
- Maintaining appropriate facility insurance
8. Termination of Services
8.1 Termination by Family
Families may terminate services at any time with 30 days written notice. If less than 30 days notice is given, you remain responsible for payment through the notice period.
8.2 Termination by Twilight Nest
We may terminate services with 30 days notice if:
- Resident's care needs exceed our capabilities
- Resident requires continuous skilled nursing or medical care
- Fees remain unpaid after 30 days
- Resident or family engages in threatening or abusive behavior
- We cease operations or close the facility
8.3 Immediate Termination
We reserve the right to immediate termination without notice if:
- Resident poses an immediate safety threat to themselves or others
- Violent or severely aggressive behavior occurs
- Illegal activities are conducted on premises
8.4 Hospitalization or Death
If a Resident is hospitalized, their space will be held for 14 days with continued fee payment. If the Resident passes away, the agreement terminates and fees are prorated to date of death.
9. Limitation of Liability
9.1 Standard of Care
We provide services with reasonable care and skill appropriate for a non-medical residential facility. However, we cannot guarantee specific outcomes or prevent all accidents or health changes.
9.2 Medical Disclaimer
Twilight Nest is not a medical facility. We do not provide medical diagnosis, treatment, or nursing care. Families are responsible for ensuring residents receive appropriate medical attention from qualified healthcare providers.
9.3 Liability Limitations
To the extent permitted by Thai law, our liability for any claim arising from or related to services is limited to the amount of fees paid in the 12 months preceding the claim. We are not liable for:
- Natural progression of illness or medical conditions
- Acts or omissions of external healthcare providers
- Resident choices that result in injury or harm
- Loss or damage to personal property
- Events beyond our reasonable control (force majeure)
9.4 Indemnification
Families agree to indemnify and hold Twilight Nest harmless from claims arising from inaccurate information provided, failure to disclose relevant health or behavioral history, or Resident actions that cause harm to others or property.
10. Dispute Resolution
10.1 Informal Resolution
If concerns or disputes arise, we encourage families to first address them directly with our Director of Care. Most issues can be resolved through open communication.
10.2 Mediation
If informal resolution fails, both parties agree to attempt mediation before pursuing litigation. Mediation costs will be shared equally.
10.3 Governing Law and Jurisdiction
These Terms are governed by the laws of Thailand. Any legal proceedings shall be conducted in the courts of Chon Buri Province, Thailand.
11. General Provisions
11.1 Entire Agreement
These Terms, together with your completed intake forms and selected Living Option, constitute the entire agreement between you and Twilight Nest.
11.2 Modifications
We may modify these Terms with 60 days written notice. Continued use of services after modifications take effect constitutes acceptance of the new Terms.
11.3 Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.
11.4 Waiver
Our failure to enforce any provision does not waive our right to enforce it in the future.
11.5 Assignment
You may not transfer or assign your rights or obligations under this Agreement without our written consent.
11.6 Notice
All notices must be in writing and sent to the addresses on file. Notices are effective upon receipt.
